Franchised Outlets Must Maintain their books as per the Confidential Operations Manual

By Lance Winslow A franchisee of the franchise system must maintain their financial records, business records and reports in compliance with the confidential operations manual set forth by the franchisor. Each franchisor must make sure that the guidelines for the books, accounting system and business records are understandable and gone over in training. Additionally it would be recommended that such issues were addressed into franchising agreements prior to the commencement of the franchised outlet. In my franchising company I had inserted a clause to address this very issue. Below you will find the clause that I came up with that became part of every franchise agreement that our company signed; 3.17.1 Maintenance of Books; Reports Franchisee must maintain full and complete records of all business done and revenue Franchisee receives through the Franchised Business in accordance with generally accepted accounting principles employed in the Marketing Area or the United States and the standards and Confidential Operations Manual provided by Franchisor. These records will include, but are not limited to, order sheets, sales agreement forms, daily sales summaries, tax returns, financial statements, and invoices. Franchisee will date, file in consecutive order, retain for a period of five years, and make available to Franchisor for inspection and audit all of Franchisees records. Franchisee, if a natural person or persons, will submit to Franchisor a list of all owners of the Franchise Business and the respective interests held by each as of the end of each fiscal year. Franchisee, if a partnership, will submit to Franchisor a list of all partners and the respective interests in Franchisee held by each partner as of the end of each fiscal year. Franchisee, if a limited liability company, will submit to Franchisor a list of all members and the respective interests in Franchisee held by each member as of the end of each fiscal year. Franchisee, if a corporation, will submit to Franchisor a list of all shareholders and the respective interests in Franchisee held by each shareholder as of the end of each fiscal year (provided, however, if Franchisees shares are publicly traded, the list of shareholders required will include only those owning five percent or more of the shares outstanding). The required report will be submitted to Franchisor within ninety (90) calendar days after the end of Franchisors fiscal year. Franchisee will furnish Franchisor with unaudited financial statements for the Franchised Business within ninety (90) calendar days of the end of each calendar year signed by the Franchisee, if the Franchisee is an individual, or the majority partner, shareholder or member of the Franchisee if the Franchisee is a partnership, corporation or limited liability company, which shall include an income statement and balance sheet. If Franchisee is a division of a corporation, then the financial statements need only relate to the operations of such division. These statements must be prepared following generally accepted accounting principles. — — — — — — — Since this issue is so vitally important to the franchised business model to maintain consistency in control of the franchise system, each franchisor would be well advised to contact the franchising attorney who specializes in franchise systems. Weight Loss Workouts - How to get Maximum Results in Minimum Time

By Craig Ballantyne You need to have a professional weight loss program designed for you if you want to lose weight and burn fat in minimum time. Otherwise, your weight loss workouts will take too long, and you won’t get the results you want. Tip - When designing your program for maximal results, make sure you plan your exercises in the optimal order. Now that’s a vague tip, isn’t it? Just what do I mean by the optimal order? Well, ignoring the warm-up for a second, here’s how your training program should be set up in order to have your exercises in the optimal order: 1. Your bodyweight warmup comes first. This prepares you for the rest of the workout, but doesn’t waste your time like a 5-minute walk on the treadmill would waste your time. 2. Strength exercises come next (i.e. Your main exercise/superset of the workout - This exercise/superset should be performed with heavy weights and low reps - 3 sets of 6 at the most). 3. Repetition exercises follow (i.e. moderate reps - 4 sets of 8-12, generally used to increase the volume of training in order to cause muscle growth). 4. Endurance exercises are used to finish your strength portion (i.e. high-rep pushups/squats/chin-ups to failure; also, intervals). 5. Intervals complete your fat burning workout. So why did I describe the reader’s workouts as backwards? Well, let’s take a look at the two biggest mistakes in those workouts: A) Putting endurance work first. Doing too many pushups (endurance exercise) at the start of the workout before the strength exercise is a bad idea. When you do endurance work before heavy lifting, your strength will suffer. There’s no question your workout intensity will suffer if you do this. So the take-home message: Make sure you don’t fatigue yourself in your warm-up or put a high-rep exercise prior to a heavy strength exercise. B) Putting strength lifts at the end of the workout. Strength should not be put in the second or third superset of the workout. These lifts should be done at the start of your workout (after the correct warm-up), yet I see these being done 20-30 minutes into people’s workouts all the time. Remember:If you want to move fast or train with a high-intensity, you have to be fresh, not fatigued. Following the optimal exercise order will help you do more quality work in each training session…therefore allowing you to get stronger, burn more calories, gain more muscle, and/or lose more fat. Whatever your training goal, it will be made easier by doing things in the right order. So the best weight loss, fat burning, muscle building program would go like this: a) A sufficient, but not overbearing total body warm-up b) Supersets starting with the hardest bodyweight exercises first, ones that can only be done for a few reps (unless you are a bodyweight training animal) c) A gradual decrease in exercise intensity with each subsequent superset, and a simultaneous increase in reps. d) Endurance circuits to complete the workout. e) Intervals if needed. Train smart, train hard, train safe, and you’ll get results. Fall Colors for Southwestern Planting

By Paul Guzman Fall Colors for Southern New Mexico, East Texas and most of the southwest. I have already seen Raywood ash trees begin to change slightly, getting ready to bring on it’s vivid purple/burgandy show. Certain crape myrtles are beginning to show signs of yellows and oranges in some of their leaves. Most aren’t aware that crapes too, give off a wonderful display of color, if properly fed during the summer months. Other trees to be on the look out for are Red Oaks, Sweet Gum ( yes, they do grow here too, we have one in our parking lot at Color Your World!), Chinese pistache, Modesto, Bonita, Berrinda ash, Gingko Biloba, Bradford pear,and Bald Cypress to name a few. Some other plants that have fall color are Nandina (there is an array of sizes, shape and leaf textures to choose from), sumac, euonymus alata (burning bush), Boston Ivy,and Virginia Creeper. Flowering plants that look especially beautiful during this time of year, though not necessarily “fall colors” are Mexican sage, lantana, garden mums, marigolds, cannas, salvia greggii (cherry sage), mexican primrose, mealycup sage, and roses, which seem to have more fragrance during this time of year, or maybe it is just my imagination. You decide for your self. Don’t forget there is a long list of grasses which now begin their contribution to fall interest. There is a pampas grass that does not get too large called ‘Ivory Feathers’ that is already showing off. Yakushima, maiden, miscanthus, fountain grass, purple fountain grass, and all various forms of these grasses are now making their debut. Muhlenbergia ‘Regal Mist’ the one with the “see thru” purplish flower head is just about to erupt it’s color all over town. This one looks striking when the sunlight shows through it. Last but certainly not least are pansies, snapdragon, dianthus, and stock. These will give you color even when it snows. Pansies in particular can take brief periods of below 10 degrees f. and still give off color when temperatures climb back up. If you plant pansies now you should still have color up until next may! Amazing huh! One thing I have noticed over the years is that pansies planted in the ground typically do better than the ones in pots. If you have them it pots it is best to give the some protection against the extreme cold to avoid winter damage. Also when planting pansies it is best to use a good potting mix that is porous and lightweight. We carry a soil from fertilome called Ultimate Mix which works perfectly. Everything mentioned above can be planted right now. So get out and enjoy what is probably the best time to be outdoors. Fall!
